什么是Carveout

股權(quán)切離（EquityCarve-outs）股權(quán)切離又叫分拆上市，是指母公司將資產(chǎn)的一部分轉(zhuǎn)移到新設(shè)立的公司，再將子公司股權(quán)對(duì)外出售，在不喪失控制權(quán)的情況下給母公司帶來(lái)現(xiàn)金收入的方法。

從法律意義上將子公司的經(jīng)營(yíng)從母公司的經(jīng)營(yíng)中分離出去的行為法。認(rèn)購(gòu)這些股權(quán)的人可以是母公司的股東，也可以不是母公司的股東。母公司的股東在擁有股權(quán)切離方式成立的公司股票后，可以自由改變投資到這兩家公司的組合比例，增加投資決策的靈活性而在此之前，這些股東只能通過(guò)母公司的投資，才能投資到子公司，其投資活動(dòng)是單一取向的。
